Terms of Service

By accessing or using MerchIQ ("MerchIQ," "we," "us," or the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including merchants, account holders, and authorized users.

MerchIQ provides a software platform that enables users to create, manage, and sell merchandise products. The Service may include tools for product and variant management, asset handling, storefront hosting, order management, integrations, APIs, and related features.

Important: MerchIQ is a technology platform only. MerchIQ is not the seller of record, not the manufacturer, and not the fulfillment provider for products sold through the Service.

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Ensuring that any authorized users comply with these Terms

You agree to notify MerchIQ immediately of any unauthorized use or security breach related to your account.

MerchIQ may suspend or restrict access if we reasonably believe your account has been compromised or is being used in violation of these Terms.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe or misappropriate intellectual property rights
• Sell counterfeit, illegal, or prohibited goods
• Distribute malware, abusive, or deceptive content
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or related systems
• Circumvent usage limits, rate limits, or technical safeguards

MerchIQ reserves the right to investigate violations and take appropriate action, including suspension or termination of accounts.

You retain ownership of all content, designs, products, and materials you create or upload to the Service.

By using the Service, you grant MerchIQ a limited, non-exclusive, worldwide license to host, store, process, display, and transmit your content solely as necessary to operate and provide the Service.

You represent and warrant that:

• You own or have the rights to all content you upload
• Your content does not violate any third-party rights or applicable laws

MerchIQ does not review or endorse merchant content and is not responsible for the accuracy, legality, or quality of products sold through the platform.

MerchIQ uses Stripe, Inc. ("Stripe") as its third-party payment processor.

By using paid features or accepting payments through the Service, you agree to be bound by Stripe's Services Agreement and applicable policies. Stripe processes all payment transactions. MerchIQ does not store or process payment card information.

Merchants are solely responsible for:

• Payment disputes, chargebacks, and refunds
• Compliance with Stripe requirements and payment network rules
• Any taxes, duties, or regulatory obligations related to their sales

MerchIQ may charge platform fees as described at the time of purchase. Stripe processing fees apply separately. Fees are non-refundable except where required by law.

MerchIQ is not responsible for Stripe account suspensions, reserves, or delays.

MerchIQ may offer free and paid plans with usage limits, features, or restrictions. Limits may apply at the user, store, or account level.

We reserve the right to:

• Modify pricing, limits, or features
• Introduce new plans or tiers
• Enforce reasonable usage restrictions to protect platform stability

Material changes will be communicated in advance where practical.

MerchIQ may suspend or terminate your account at any time if:

• You violate these Terms
• Your use poses risk to the platform, other users, or third parties
• Required by law or payment processors

Upon termination, your access to the Service will cease. MerchIQ is not obligated to retain content after termination except as required by law.

The Service is provided "as is" and "as available." MerchIQ makes no warranties, express or implied, regarding the Service, including merchantability, fitness for a particular purpose, or uninterrupted availability.

To the maximum extent permitted by law, MerchIQ shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of the Service.

MerchIQ's total liability for any claim shall not exceed the fees paid to MerchIQ by you in the twelve (12) months preceding the claim.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
